Accounting for merger mania
Article Abstract:
The trend of mergers and acquisitions will continue in 1987. The job of a controller or CFO in a merger is to ensure that the merger is strategically and financially sound. Sound mergers are those carried out in a cost-effective manner. Hostile takeovers have drawn the most attention and publicity. Still, the majority of acquisition activity is conducted as mergers to strengthen the competitive edge of both corporate entities involved. 1,450 mergers and acquisitions occurred in 1986, with $70 billion changing hands in the related transactions. Changes in the tax laws have eliminated several of the tax breaks associated with mergers. These tax reforms should not deter mergers planned for sound business reasons. It may, however, become more difficult for parties involved in mergers to find ways to structure transactions with minimal tax effects. This means more work for the accountants.
