The winning directors won over stockholders by promising to be more independent from management and to share more information with investors.

Executives with experience in startup companies are the most coveted figures in the fickle high-technology market. Companies and their investors are taking unique approaches to attracting these job-hopping executives. An example is Matthew Szulik, the new pres of Red Hat Software. Szulik joined Red Hat despite having worked for five organizations since the 1980s. He relinquished his most recent position as pres of Relativity Technologies, a startup company that converts mainframe programs to more modern counterparts. Realitivity tried to retain the 41-year-old software executive by offering a compensation package valued at $200,000 as well as 75,000 company shares while Relativity is preparing an initial public offering. Red Hat, whose software tools support the free Linux OS, boasts 85 employees and annual sales that exceed $10 million. Szulik discusses the importance of make a long-term commitment to Red Hat, but his itinerant resume has raised questions even within his family.
