Some reasons Lycos was such a willing bride

The proposed acquisition of Lycos Inc. by USA Networks was negotiated in terms that are considered to be very favorable to Barry Diller and USA Networks. The agreement prevents Lycos from contacting other merger partners and requires the Internet portal to sell 20% of itself to Diller's cable TV-based home-shopping network if it receives an unsolicited offer. Shareholders have reacted unfavorably to the merger, with Lycos' shares declining by more than 25% as its largest shareholder, David Wetherell resigned from Lycos' board in protest.
