Trapped by good intentions
Article Abstract:
The adverse effect the proposed reforms to Trade Practices Act are likely to have on small businesses is discussed. Investors would no longer find investment in smaller concerns lucrative on the implementation of the revised takeover rules, thus making the smaller businesses more vulnerable for meeting their funding requirements and bringing the Australian labor party's good intention to a naught.

Debt financing may seem as an attractive way to fund acquisitions and expansion when interest rates are low and the bottom of the economic cycle is the perfect time for companies to acquire weaker rivals at discount. A very different approach for structuring the capital needs for the deals are highlighted by recent acquisitions by former stablemates Amcor and PaperlinX.
