Bergmann is a German chemicals concern which has been acquired by M.A. Hanna, a US firm. The company was sold by the Duke of Baden, and Hanna was identified as a potential acquiror by Morgan Grenfell. Hanna was seeking to expand into Europe and Bergmann offered this opportunity as a profitable and well-run firm. A detailed valuation was made and an offer submitted in Jun 1994 with a contract signed in July of that year. The deal was successful due to an understanding of cultural differences between large US and smaller German firms.

Spin-off cycle reaches top speed
Article Abstract:
It has become increasingly common for US companies to turn to spin-off strategies as they seek to address problematic issues. This was the case with Huntsman's purchase of four business segments of ICI. Huntsman will pay $825 million for a 70% stake in ICI's titanium dioxide business as part of a $2 billion arrangement in which Huntsman will contribute its propylene-oxide activities. Viacom has made a debt financed spin-off of its Blockbuster Entertainment video rental network.

Getting the chemistry right

In 1995, AlliedSignal's engineering materials division completed the acquisition of Hoechst's majority stake in specialty chemical producer Riedel-de Haen. Deutsche Morgan Grenfell, which has a long association with AlliedSignal, was asked by the U.S. company to find it a potential acquisition in Germany as part of its plan to expand its European engineering materials business. Details of how the acquisition was carried out are presented.
