From diversification premium to diversification discount during institutional transitions
Article Abstract:
The transformation of a diversification premium in emerging markets, such as South Korea, into a diversification discount is examined. Results showed that it is possible for a diversification p remium to dissipate over time and change into a diversification discount during periods of institutional transitions. The impacts of business group affiliation on corporate diversification are also studied.

Do outside directors and new managers help improve firm performance? An exploratory study in Russian privatization
Article Abstract:
The theory proposing the positive effects of outside board members and new managers in the context of privatization and restructuring of the Russian economy, is not supported by the survey of 314 privatised firms. The implications of the methodilogical problems and the institutional factors on corporate governance theory, practice and public policy are further analyzed.

Modern Russian corporate governance: convergent forces or product of Russia's history?
Article Abstract:
Russia is in a dilemma, to directly adopt the US-style free market economy, or reform gradually, taking into account historical and cultural background. It is cited that this problem can only be addressed in the context of business history.
