Randstad to buy Strategix for $850 million in cash

Strategix Solutions, a temporary employment agency from the US, will be purchased by Randstad Holding N.V., a temporary employment agency from the Netherlands, in a proposed $850-million cash agreement expected for an end-of-September-1998 completion. Randstad Holding projected that its acquisition of Strategix Solutions will immediately boost its per-share profits. Randstad Holding, one of the European region's biggest temporary employment agencies, will emerge as the US' ninth-biggest temporary employment agency as a result of the proposed sale agreement.

Wolters Kluwer agrees to buy Plenum Publishing

Wolters Kluwer NV, a Netherlands-based publishing company, will purchase New York-based Plenum Publishing Corp. for $258 million. The deal in conditional on Wolters getting no less than 51% of Plenum's shares outstanding. Plenum executives holding 15% of the company's shares outstanding consented to include their shares in the offer. Wolters is among the leading specialist publishers for the legal and accounting professions in the world. Plenum is a publisher of scientific and technical journals, books and databases.

Scotts to acquire European businesses

Scotts Co. of Marysville, OH, has agreed to purchase Rhone-Poulenc Jardin of France and ASEF of Didam, the Netherlands for a combined amount of $220 million. Scotts, a manufacturer of lawn and garden care products, made the purchases in an effort to bring its business to continental Europe. Rhone-Poulenc Jardin, a unit of the drug manufacturer Rhone-Poulenc SA of France, markets pesticides, fertilizers and other related products while ASEF is involved in the manufacture of lawn and garden products.
