It is becoming increasingly common in the UK for share offerings to be structured as global offerings. The decision on whether to use a global offering is dictated by the size of the transaction, the need to target long-term investors and the value of international publicity. An example of the use of a global offering is that of Standard Life, which decided in early Jun 1996 to use this method to sell its stake in Bank of Scotland. It was possible for Standard Life to retain a market weighting of approximately 2% of its portfolio.

Bank of Scotland structured finance
Article Abstract:
The Bank of Scotland's structured finance unit has led KPMG's league table for senior debt arrangement for management buyouts/buyins since 1990. Between 1990 and 1996, the bank's Glasgow, London and Edinburgh units have arranged senior debt of more than 10 million pounds sterling for 157 transactions amounting to over 2.8 billion pounds sterling. The bank's head of structured finance, David Giffin, believes that the UK government's Private Finance Initiative will provide valuable business opportunities.

BoS to expand structured finance
Article Abstract:
Scottish bank Bank of Scotland is to implement its structured acquisition finance programme in offices throughout the United Kingdom. The decision arose from a desire to make the bank more competitive in management buyouts. It will provide every branch with a standard policy and help to focus staff in providing high quality services. The bank will implement procedures in a number of offices including the English cities of Newcastle and Leeds.
