The pros and cons of the new pensions act

Those involved in the UK's mergers and acquisitions (M&A) market need to be aware of how the new Pensions Act will affect acquirers. The Pensions Act 1995 will be introduced in April 1997 and could increase acquirers' pension costs. An important aspect of the new legislation is the introduction of new minimum funding requirement rules. Most pension schemes will be automatically covered by the new requirement, but those schemes where funding levels are below 100% must be topped up by the employer. The new rules and their effect on the M&A market are further discussed.

Article Abstract:
Companies engaged in buyout, acquisition or merger talks often stumble over the complication of company pension schemes. Pension schemes must be funded sufficiently to meet Minimum Funding Requirements legislation. Company acquirers should endeavour to protect themselves against future funding payments. Particular attention should be given to the early closure of the pension scheme. Acquirers may be obliged to notify employees if they are to contract out of the State Earnings Related Pension Scheme.
