Don't sell out, buy out

Management buyout (MBO) presents one of the most difficult challenges to confront finance directors. In such an undertaking, these officials attempt to acquire the company at the lowest cost possible as part of the MBO while performing their statutory obligation to look out for the interest of shareholders. Finance directors have four primary roles in an MBO. One is to collect information about the trading, cash flow, balance sheets and other estimates pertaining to the company. Another is to negotiate the deal with the funders and the vendors. A third role is to communicate the financials to the MBO team. The last is to act as project manager. Among the concerns they have to consider are the funders, the viability of an MBO compared with a trade sale, and the fair value. Despite the hardships they have to go through, finance directors should master the MBO because it has become a common business activity.

Finance directors planning to develop a business strategy for their organizations should carry out a planning process to realize a greater chance of success. The planning process should begin with the creation of a context supporting realistic and effective management decisions. It should be designed to promote consistent hypothesis and perspectives about the business environment and how various parts of the organizations should respond. They should also gather information about the planned business strategy and determine the needs, fears and expectations of the major stakeholders to prevent second guessing and better service existing and future clients. Finally, finance directors should see to it that the implementation of the business strategy supports the organization's direction, policy and investment.
