Oral partnership
Article Abstract:
In Kuhl v. Garner (1995), an Oregon appeals court found that an oral partnership had existed originally and was recreated subsequent to the Kuhls' bankruptcy after they had deeded the property to the Garners. The court was persuaded mostly by the fact that Garner had previously submitted an accounting to the Kuhls that indicated the existence of a partnership and the Kuhls had worked for many years for the partnership without receiving compensation.

Article Abstract:
General partnerships allow partners to be dismissed for reporting suspected overbilling by another partner. Also, under general partnerships, a partner can not be dismissed for executing his or her right under a partnership agreement. Under limited partnerships, an agent's fiduciary functions owed primarily to limited partnership, and not to limited partners. Moreover, inadequately created limited partnerships still has the ability to file lawsuits.

Partnership May Be Expelled for Reporting Suspected Overbilling
Article Abstract:
The Texas Supreme Court held that where a partner in a law firm reports another as overbilling clients but after investigation the billing is to be reasonable, the expulsion of the reporting partner for loss of personal confidence and trust can not be held as in bad faith.
