Stock options catching on as way to pay directors
Article Abstract:
Discounted stock options are being offered by a growing number of companies to corporate directors as an alternative to cash compensation. Directors can defer taxation, benefit from pre-tax investment in company stock, and schedule the payment of taxes. Corporations benefit from stock options through the conservation of cash and tax deductions. Shareholders often endorse the idea of directors having a stake in the company. Fiduciary requirements demand that the design of a plan with price options be submitted to shareholders for approval. Care must be taken in design of the plan to avoid possible problems with the IRS or with insider trading restrictions.

Treasury managers should determine the status of management information systems used by the banks handling their automated clearing house (ACH) transactions. Questions arise about format, identification of accounting information, advance notification of large-dollar ACH credits, and capabilities to transfer files from one format to another. Attention should also be given to detailed and precise timetables indicating the availability of ACH payments to customers.
