Strategic vision or strategic con?: rhetoric or reality?
Article Abstract:
The requirements for new attitudes and approaches in the communication of a compelling corprorate vision is discussed. This is done in consideration of three surveys which suggests that a gap has emerged between rhetoric and reality in the communication of major companies of their vision and mission. The desire of transforming this corporate state is hampered by the lack of top management commitment and of the necessary communication skills. More competent directors and more effective boards are needed to remedy this situation.

The two-tier system of corporate governance
Article Abstract:
Public corporations in the Netherlands and Germany have a two-tier system of corporate governance with a managing and a supervisory board of directors. German corporations have a supervisory board with half of the members representing shareholders and the other half representing the employees. The chairman is one of the shareholder representatives and in cases wherein voting results in a deadlock, he can cast an additional vote. Ultimately, shareholders have control over the supervisory board.
