Immunity applies only to actions of committees
Article Abstract:
An ophthalmologist was suspended by the hospital executive director, the surgery department chairman and an executive committee member on Apr 17, 1985 after a cataract surgery. A meeting to review her suspension was not held in a timely manner, she resigned and filed a breach of contract suit. The hospital staff that suspended her felt they were protected by the Hospital Licensing Act. The judge found that the hospital staff were not a committee so they were not protected by the law and that the ophthalmologist did not have a breach of contract case.

How to avoid the potholes of practice mergers
Article Abstract:
Physicians should carefully consider many things when negotiating a merger with another group practice. Legal fees, compensation, and governance are among the critical issues to be analyzed when reviewing merger documents. Also important are autonomy, and options to back out of a merger if it proves unsuccessful. Personnel issues can cause problems after mergers as physicians consolidate staff and previously indispensable employees need to be let go.

Structure your group with possibility of sale in mind
Article Abstract:
If a physicians' group plans to sell a group practice to a physician practice management company it is important to realize that these companies acquire earnings. Economic benefits and group member support depend upon this premise. These companies want to designate most of the purchase price as goodwill to ensure the earnings statement looks good.
