An economic analysis of shared property in partnership and close croporations law
Article Abstract:
For small firms, corporation law serves the purpose of regulating property rights as applied to shared property. The way in which this leads to the existence of different legal forms of organization is analyzed. The operation of proprietary law in closely held corporations and partnerships is compared and contrasted.

The evolving partnership
Article Abstract:
Partnerships in the US are governed by state law and can choose their jurisdictions, thus providing competition among jurisdictions. This is the most efficient way of regulating partnerships. The European Union is beginning to follow this example and should embrace it.
