Duty of disclosure for corporate officers and directors under ERISA
Article Abstract:
The Department of Labor recently issued guidelines concerning disclosure of information to retirement plan participants by corporate officers or directors. Some of the guidelines are in conflict with securities laws, and will probably not be recognized by courts.

The author discusses the impact of the US Supreme Court's decision in Pegram v. Herdrich, in which the court agreed with the Labor Dept and ruled that ERISA should not preempt state law in regards to managed care medical services.
