Insider trading: a new cycle
Article Abstract:
The US Supreme Court upheld the misappropriation theory of insider trading in its 1997 decision of United States v. O'Hagan. This has validated the theory's argument of criminal liability, that securities fraud violate fiduciary duties and is based on deception. Questions regarding the scope of fiduciary duties and what constitutes use rather than possession were not resolved the decision.
