Intellectual property escrow agreements in international joint ventures
Article Abstract:
Intellectual property escrow agreements are useful for protecting trade secrets when entering into an international joint venture because a third party, the Escrow Agent, holds the trade secrets until they are needed. These agreements circumvent difficulties with various countries' intellectual property laws if the joint venture falls through after the information has been exchanged. Escrow Agents are subject to stiff penalties if they inappropriately release information and are liable for losses incurred by their breach of duty. A sample agreement is included.

Article Abstract:
Regulatory solutions to the First Amendment and copyright problems posed by the Internet should be addressed in nontraditional ways that involve both the users and producers of online entertainment. Protocols should be revised to tag copyrighted and pornographic materials to limit access to those individuals granted access. Copyrighted music, images and text could be accessed by paying a fee that resets permission control markers. UNIX already allows for such encoding of access restrictions and approvals.

Intellectual property escrow agreements in international joint ventures
Article Abstract:
There is no single international standard for protecting intellectual property of potential partners in an international joint venture. Trade secrets are protected by the law of the host country of a partner and may not be enforceable against a company from another country. The laws on trade secrets are surveyed for the US, Canada, Great Britain, Australia, India, France, Spain and Japan.
