Just one tiny share can make a difference; they're battling over the family fortune, and the brother has the upper hand
Article Abstract:
A legal battle for control of American Maize-Products Co (AMP) pits Helen Ziegler Steinkraus against her brother, William Ziegler III, who owns one more share in the trust that owns the dominant block of AMP stock. That advantage has given him practical control that many observers say is ruining the company, founded by their father. This year Ziegler was the sole but decisive member of the board of directors to vote against a proposed $430 million sale of the company at a 52% premium. The legal maneuvers involved are discussed.

The bond game remains the same; even in a cleaned-up N.J. county, lawyers who donate are chosen
Article Abstract:
Political campaign contributions by lawyers who hope to be selected as municipal bond counsel are controversial and have even inspired statements to that effect by Arthur Levitt, chairman of the SEC. The National Ass'n of Bond Lawyers, unable to agree on this matter, has a compromise 'disclosure' policy, although some members think relying on the campaign finance laws evades their responsibility. A National Law Journal Survey of bond lawyers' campaign contributions in Essex County, NJ is reported on.
