Perfection of security interests by filing under the 1998 revisions to Article 9 of the Uniform Commercial Code
Article Abstract:
UCC Article 9, governing secured transactions, was revised in 1998. The revisions are due to take effect on July 1, 2001. All attorneys practicing in this area of commercial law should be familiar with the often complex changes wrought by the new Article. Financing statements should be filed in all places that might have contact with the transaction of the debtor. The new Article requires debtor approval of financial statements but not their signature.

Getting control of control agreements
Article Abstract:
The Investment Securities Subcommittee of the ABA's UCC Committee produced two examples of control agreement for use under Article 8 in connection with perfecting security interests in investment property. Both forms should be particularly useful for transactions in which retail broker-dealers serve as intermediaries. The first form is for when the broker-dealer is not affiliated with the lender, and the second is for when they are.
