Pitfalls in partnership law reform: some United States experience
Article Abstract:
Potential problems with the legal reform of partnership laws are assessed with reference to the creation of the Revised Uniform Partnership Act. The two most serious pitfalls lie in ignoring past experience and in failing to be precise and clear in stating principles. The way to overcome these pitfalls is by employing expertise from the judiciary and bar.

"...drawing near the fastness?" - The failed United States experiment in unincorporated business entity reform
Article Abstract:
The 1990s saw a variety of new business forms introduced, such as limited liability partnerships and limited liability companies. Despite all the changes, there was little improvement in the law of unincorporated entities. There was no theoretical basis to the reforms, and they ignored social costs.
