SEC issued a number of releases and proposed rules during the second half of 1995 including initiatives on streamlined disclosure and proxy requirements, debt market and small business initiatives, abbreviated financial statements, and Regulation S practices. Other issuances concerned cross-border financing, secondary trading, limited partnership and roll-up rules, executive compensation disclosure, proxy reform, and simplification of registration requirements.

Publicity considerations for corporate issuers: getting the message across under the federal securities laws
Article Abstract:
Federal securities laws impose restrictions on the public disclosure which can be made when securities offerings are made. These restrictions sometimes conflict with a corporation's need to advise investors during mergers or other securities transactions. These limitation and the SEC's use of Internet Web sites for offshore securities offerings is discussed.
