The bought deal: the edge of the shelf?

Shelf registration under the Securities Exchange Act of 1934 allows issuers to register total dollar amounts for securities without specifying the amount of each class being offered. Bought deals, a form of distribution for shelf registered securities, gained in popularity in the 1990s but are less profitable to underwriters and may involve due diligence risks. These risks may be balanced in a bull market by their benefits.

Streamlining the task force report on disclosure simplification: a summary of the task force proposals and Securities and Exchange Commission responses
Article Abstract:
The Task Force on Disclosure Simplification recommended in its Mar 1996 report that the SEC eliminate or modify more than 80 rules and 22 forms to simplify disclosure procedures and costs. The SEC noted in three 1996 releases it was considering eliminating or modifying over 40 rules and 2 to 4 forms in response to the task force's report. The task force's recommendations and the SEC's response is reviewed.
