An accurate and well-presented business plan is necessary for any business venture to be able to attract lenders and investors. A plan that inspires confidence in the project among lenders and investors is most likely to attract funds. While a lender is concerned about the credit-worthiness of the borrower, an investor will look at the returns on his investment. A good business plan must provide information on the the acquisition that is being proposed, the management's knowledge of the industry, and realistic financial prospects. The capital proposed to be invested must be adequate.

Broadcast antitrust consent - Hart-Scott-Rodino
Article Abstract:
Larger broadcast station mergers must pass Dept of Justice (DOJ) and Federal Trade Commission (FCC) scrutiny as per the Hart-Scott-Rodino antitrust law. Initial information needed will include merger transaction details and balance sheet information. A second request for personnel, financial, and marketing information may also be made. Second request information can include sales and advertising data, asset information, organizational charts, and lists of agents, consultants and other station-related people, including former management employees.

Tax law changes
Article Abstract:
Amendments to S corporation tax laws, effective after Dec 31, 1996, may facilitate broadcast stations' acquisitions of other stations. S corporations are allowed to hold other S or C corporations as subsidiaries under these changes, for example. The number of S shareholders allowed has been raised to 75. Stock purchases may be more advantageous than purchasing assets in some cases. Shareholders' estate planning considerations are also discussed.
