A.T.& T. and NCR hold talks: no accord announced; no further meetings are said to be planned

The chairmen of AT&T and NCR Corp meet to negotiate a resolution to AT&T's hostile takeover attempt of NCR, but reach no accord on price and schedule no further talks. NCR's share price increased $1.375 to $99.625 on the New York Stock Exchange, and the computer maker said it will share confidential business information with AT&T to persuade the company to raise its $100-a-share bid, worth $6.77 billion. AT&T canceled a two-day meeting of 50 company managers in order to consider NCR's offer. Analysts speculate that a deal between the two companies is imminent as a result of NCR's willingness to negotiate. If AT&T wins control over NCR's board at a special shareholder's meeting, it has agreed to reduce its $100-a-share bid to the original $90 a share, or $6.09 billion. AT&T could significantly expand its equipment businesses with the acquisition of NCR.

Judge finds Nynex is guilty in criminal contempt case

US District Court Judge Harold H. Greene finds Nynex Corp in criminal contempt and fines the company $1 million for selling an electronic information service in violation of the antitrust decree that broke up the Bell System in 1984. Nynex says it has done nothing wrong. Greene's decision has to do with a prohibition that was lifted in 1991. Greene says Nynex willfully and knowingly violated a provision of the decree that prevented regional Bell companies from owning electronic information services. Specifically, the violation involves a Tennessee-based company called Telco Research Corp, which was acquired by Nynex in 1986. Telco Research processed information for MCI Communications Corp, sending processed information to MCI over telephone lines.
