Acquisition of VoiceStream Wireless delayed
Article Abstract:
Deutsche Telekom and VoiceStream Wireless have postponed DT's acquisition of VoiceStream because of links between DT stock and the terms of the deal. The acquisition was originally valued at $50.7 bil, comprised of 3.2 DT shares and $30 cash for each VoiceStream share. However, were the deal to close before May, DT would have to pay a dividend of about $250 mil total to those new shareholders. DT is worried that news of this additional expense will prompt a further decline in its stock price. Already DT shares are down, pegging the acquisition price at $30 bil. DT is pursuing VoiceStream because it is one of the few U.S. wireless telecoms to use Europe's GSM standard.
