Boards of directors and hostile takeovers
Article Abstract:
Corporate board directors are ambivalent in their attitudes toward hostile takeovers. While some see it as a positive threat for management to maximize profit for shareholders, others view it as a hindrance to the long-term growth of a company. Board directors, however, are unanimous on the appropriateness of defensive actions to take when faced with the threat of a hostile takeover such as estimating the takeover value of the firm. Major strategic restructuring or mergers and other defensive actions such as employee stock option plans or the poison pill are normally shunned.

Folkerts and Nijkamp reply
Article Abstract:
Wessler et al are correct in pointing out that acetylcholine can be released by the epithelium and the enzyme choline acetyltransferase is also found in the epithelium. However, the original study focused on the pharmacological relevance of putative epithelium-derived relaxing factors prostaglandin E2 and NO. Acetylcholine is also a contractile factor that modulates the epithelium in an indirect manner. The original study showed the direct actions of the prostaglandins on the smooth muscle.
