Circon, a target of hostile offer, seeks white knight

Circon Corp., a manufacturer of surgical products that is based in Santa Barbara, Calif., has announced that it is searching for alliance, merger or acquisition proposals from so-called "white knights." Industry analysts have identified possible friendly bidders, including Stryker Corp. and Tyco International Ltd. US Surgical Corp., which produces advanced endoscopes and minature color video systems for medical applications, has unsuccessfully attempted to acquire Circon Corp. for over two years.

Federal judge refuses to hear lawsuit accusing Bain of raiding rival's office
Article Abstract:
Bain & Co. won a legal victory against Value Partners SA as a District Court judge in New York refused to hear Value Partner's case against the company. Value Partner claimed that Bain had raided its operations in Brazil and stole classified information. Judge Shira Scheindlin ruled that Brazil was a more appropriate forum to hear the case than New York would be. However, Value Partners may be able to reopen the case in New York if a court in Brazil would not take jurisdiction.

Cendant's CEO outlines plans for a comeback
Article Abstract:
The chairman and CEO of Cendant Corp., Henry R. Silverman, stated that it would take several years before his company can restore its credibility. Mr. Silverman said that he was studying the possibility of terminating HFS Inc.'s $14 billion merger with CUC International Inc. This merger formed Cendant in December 1997. However, Mr. Silverman eventually decided that such a move would prove to be burdensome. He is now considering selling off some of CUC's other businesses.
