Expanding the nature and scope of due diligence
Article Abstract:
Facing statistics that illustrate the all-to-frequent problems facing companies involved in mergers and acquisitions--falling productivity, declining market share, diminishing profitablity--the authors advance a model of due diligence that may help preclude such negative results. The new model of due diligence would measure both tangible and intangible assets of the target entity by auditing the target entity's macro-environment, legal environment, marketing, production, management, information systems, and finances. This model of due diligence is not appropriate for merger and acquisition situations, such as hostile takeovers and competitive bidding processes, in which time is constrained.

Linking forward and reverse supply chain investments: the role of business uncertainty
Article Abstract:
Reverse supply chains (RSCs) can lower the negative environmental effects of extracting virgin raw materials and waste disposal. Investment in them should be integrated with investments on forwards supply chains. The managerial efforts in RSCs and the effect of business uncertainty in RSC investment are studied.
