Hewlett-Packard Co. will acquire Compaq Computer Co. in a $26 billion stock-swap. The merger will create the world's biggest maker of servers and PCs, with a combined 19% share of the global PC market, easily surpassing that of Dell Computer Corp., the current leader. The combined company would have 37% of the market for large server computers, double the market share currently held by Dell. The move comes as both firms face intense profit pressure and are looking to get into higher-margin computer services operations after losing market share in the PC market.

Despite the forecasted economic repercussions from the terrorist attacks on the World Trade Center and the Pentagon, Hewlett-Packard Co. and Compaq Computer Corp. are forging ahead with merger plans. The original all-stock merger deal, valued at $25 billion, is now valued at $17.62 billion as both company's shares have fallen.
