Inprise director sues to overturn rule limiting ability to get company data
Article Abstract:
C. Robert Coates, is suing software maker, Inprise Corp. and its directors for creating a "gag order" that he says is preventing him from obtaining company information. Coates, who is also a director, states that he is unable to perform his duties as an overseer of company operations. This rule also requires directors to consult with the chief executive officer before communicating with company employees, who, in turn, may not communicate with directors without prior approval. In reaction to this, Joanne Butler, Inprise's general council, stated that it was a standard company policy and that it conformed with Delaware law; while a Columbia University law professor, John Coffee, felt that these policies were unusual and might act as a deterrent to employees who might want to report internal problems.

Kyocera of Japan agrees to acquire Qualcomm's wireless-phone business

Kyocera Corp. will enter the North American digital mobile phone market with the acquisition of Qualcomm's unprofitable digital phone operation. Qualcomm's will sell the $1.4 billion-a-year business by February and take a $30 million charge for the first quarter. Kyocera plans to make 16 million wireless telephones by March 31, 2001, which is twice its present shipments. meanwhile, Qualcomm will be focusing more on its code division multiple access technology.
