McAfee Associates agrees to acquire Network General for $1.3 billion in stock

McAfee Associates agrees to purchase Network General in a stock transaction valued at $1.3 billion, or $27.66 a share. Terms call for McAfee to offer 0.4167 of its share for each share of Network General stock, and for the combined companies to be renamed Network Associates. Both companies supply technology for protecting and managing computer networks, a growing sector. Demand has surged for software that enables network managers to centralize companies' operations. Other demands consist of staffing help desks and protection from hackers and thieves. Hardware traditionally has accounted for the most fortunes in computer networks. McAfee is a rapidly expanding company that wants to surpass its original market in software for protecting against computer viruses. The Silicon Valley firm already has introduced a network-management products line. Network General focuses on software and hardware products that monitor and diagnose network performance.

Microsoft to buy maker of FrontPage, software to create Internet Web pages

Microsoft agrees to purchase Vermeer Technologies and its FrontPage Web authoring software in a continued attempt to garner a sizable percentage of the burgeoning Internet market. Microsoft will utilize FrontPage in its Internet strategy as a component of the software giant's Microsoft Office suite of applications, providing novice users with the capability to easily create Web pages. Also, Microsoft introduces its SoftImage 3D for Windows NT, a multimedia authoring software package that is expected to place significant pressure on Silicon Graphics' hold over the low-end workstation market. SoftImage will be bundled with workstations that cost substantially less than Silicon Graphics' primary product line, and the software operates across a variety of platforms.
