Minority sell-out

The South African company Aveng stake in the Australian construction and engineering company McConnell Dowell will increase from 67% to 100%, through a controversial scheme of arrangement. The scheme, initiated by MacDow's independent directors, will allow Aveng to gain control without paying a takeover premium to minority shareholders, and this has made minority shareholders angry who now doubt the independence of their directors and are going to block this scheme which affects their interest.

Business analysts feel that Leighton Holdings must decide on the status of the failed broadband company, Nextgen, that Leighton had taken over, as the decision may bleed the company's resources. Nextgen is one of the three companies in Australia that has inter-capital transmission capabilities but the capacity has not been fully utilized.
