S3 shifts focus sharply with sale of most of its graphics-chip unit

Via Technologies Inc. will acquire S3 Inc.'s graphics-chip business for $323 mil in stock and cash. S3, led by Ken Potashner, plans to build up its information appliances business, such as Rio music player, part of its Diamond Multimedia Systems Inc. Other products include home networking, Internet modems, and Web pads. Via Technologies will use S3 to produce chipsets that combine functions, like graphics and communications, for cell phones, and other devices. Of S3's 900 employees, 300 to 400 will transfer to Via.

Philips makes unsolicited offer for VLSI; bid totals $777 million; Dutch company seeks to gain heft in U.S

As part of its growth strategy in the U.S., the Dutch firm, Royal Philips Electronics NV, made an offer to buy San Jose-based VLSI Technology Inc. The California chip maker has until Wednesday night to respond to the unsolicited bid of $777 million. The market for Philips' consumer products chips is expected to grow about half as much as VLSI's chips for mobile communications. Sales in 1998 for VLSI were $547.8 million; Philips' were $33.9 billion.

Intel agrees to buy DSP for $1.6 billion

Intel Corp. is paying $36 per share cash for DSP. DSP had $131 million in revenue in 1998. The mobile communications chip maker employs 300. Presently, Intel rival, Texas Instruments Inc., is the contractor for DSP chip manufacture. Analysts speculate Intel is looking for an avenue into wireless data communications technology, as revenues from PC microprocessor sales continue to decline.
