Merger and acquisition advisers must address some unique challenges when dealing with deals in the biotechnology sector. It is vital to ensure that the intellectual property rights to a specific technology are vested in the target company. In some cases, it may be necessary to trace back each patent to establish who owns the rights. Intellectual property is a key issue in the biotechnology sector, with many life sciences companies planning to make acquisitions of smaller concerns in order to gain protection against redundant technology, loss of staff and growing competition.

The new rules introduced in Germany as part of the Insider Trading Regulations (Insider Regulations) and the Public Takeover Code have had a significant impact on public company takeovers. Public offers are used in Germany mainly as a way of boosting an existing majority shareholder's holding. It is very unusual for them to be used to actually achieve a majority stake. However, Anglo-Saxon techniques are beginning to be used successfully in Germany. A takeover can only really be carried out with the approval of the supervisory and management boards.
