The 14 million pounds sterling management buyout/buy-in of Astro Technology was an arduous deal which challenged both the management team and their advisers Ernst & Young. Astro is a distributor of machines for producing printed circuit boards. Astro has recorded a compound annual growth rate of nearly 30% since 1980. However, this is largely due to its distribution agreement with Fuji Machine Manufacturing Co, with Fuji products accounting for over 80% of Astro's sales. Potential finance providers for the buyout had to be reassured over the nature of Astro's links with Fuji.

Engineering industrial services concern Wkyo, which was the subject of a management buy-out in 1994, has recently begun operating from a new headquarters and warehouse building in Halesowen, England. It has seen strong growth since the buy-out, with profits reaching 8.2 million pounds sterling in the period to Apr 30, 1997, and expected to rise to 12 million pounds sterling by the end of 2000. It holds between 12% and 13% of the market for electro-mechanical services, which is currently worth between 250 million pounds sterling and 300 million pounds sterling.

A bolt-on deal with a difference

The acquisition of welding equipment maker Esab by industrial group, Charter, took place in 1994 and it represents one of the largest cross-border deals ever made in Sweden. The 286 million pounds sterling unconditional offer was made in August 1994, and it followed a period during which various problems regarding the purchase of an overseas company emerged. Details of the acquisition are given.
