In most countries it is much easier legally to merge corporations than it is to break one in two. The giant British chemical company ICI is finding a lot of legal entanglements as it goes through the process. Tax and securities requirements are the most stringent.

ICI's plan to spin off its Zeneca drug unit as part of its ambitious reorganization effort has hit a snag, and some stock market insiders now expect ICI to retain Zeneca. ICI's stock price has dropped 15%, in part because ICI has overvalued Zeneca.
