Lawyers are starting to play an increasingly important role in the acquisition and merger process as changes are taking place in the way in which deals are being structured and carried out. Financing techniques have become more complicated, and this has meant that the lawyer is a key player in the structuring and negotiation of deals. Many merger and acquisition deals are now carried out on an international level, and lawyers are in demand as the parties involved seek to come to terms with both English and foreign legislation and procedural rules.

One out of two companies which merge with or acquire others do not achieve their business goals because management planners have ignored organisational risk. Acquiring organisations are advised to carry out a thorough risk analysis programme to cover the business's initial 100 days of operation. Many mergers and acquisitions are unsuccessful because they involve an inappropriate mix of corporate culture. Details of planning for success are given.
