Klaus Esser is seeking to defend Mannessmann from a bid by Vodaphone Airtouch. He has been responsive to criticisms from Mannesmann's stockholders, and has leaked news that Mannesmann is in talks with Viviendi which could mean a combination of some of the two companies' telecoms activities. There is some concern that he could be tempted to become involved in an agreement simply to prevent a takeover by Vodaphone AirTouch, which could hit Mannesmann's stock price.

A bid by Vodaphone AirTouch for Mannesmann is more likely to succeed following an agreement between Vivendi and Vodaphone. Vivendi had previously shown interest in Mannesmann, and is an internet, telecoms and media company that started out as a utility dealing with water and waste. It has built up debt as a result of developing new businesses. Vodaphone and Vivendi may merge fixed-line assets. A full merger between Vodaphone and Vivendi is possible.
