Opportunity knocked: The publication of the Hampel Committee's draft report has rekindled the debate on corporate governance

The Hampel Committee's draft report Corporate governance-an International Review is seen as a missed opportunity by some. Sir Nigel Mobbs, chairman of Slough Estates and a member of the Hampel Committee, believes that the criticisms are predictable, but feels that the Hampel Committee is well balanced. The aim of the committee was to promote high standards of corporate governance to the good of investors and the standing of companies listed on the Stock Exchange. The views on the roles of chairman and chief executive have generated much comment, but some feel that other serious issues have been omitted.

From bean counter to bean sprouter: it's rare to find a non-executive who makes himself so invaluable to a small, family business that he is invited to take over

Martin Robinson, managing director of Joseph Pao & Company, a bean sprouts grower, first became involved with the company when he was an accountant. The company was engineering led and finances were going in the wrong direction, so Robinson introduced it to the disciplines of financial planning. He became a non-executive director in 1991 and helped the Paos to concentrate more on sales and marketing rather than the technical quality of the product. This led to him transferring to an executive role.

'I didn't start out intending to bring in a non-executive director. I really just wanted someone to talk to': small, private companies have long had a problem with non-executives. Not any more. A dose of objectivity could be just what your business needs
Article Abstract:
There is a changing attitude to non-executive directors and their relevance in smaller companies. Their role in smaller companies is mainly to augment the full time management team's knowledge and experience. Non-executive directors can help directors to think about strategy, but they must be able to offer something specific to the board, such as knowledge of the financial world, or of a foreign country.
