There has been a lack of agreement for a takeover directive for the European Union (EU). Transparent rules are needed to foster cross-border acquisitions, and bids would be less expensive with a single code for takeovers. There are, however, advantages to this lack of agreement, since decrees may not be the best way to regulate takeovers. National codes can evolve in line with changes in capital markets, whereas a single code might be too rigid.

The policy of the European Union (EU) toward mergers is examined in detail. The example of the merger between Honeywell and General Electric is used to show shortcomings in the EU's policy on mergers.
