A number of regional corporate development units have been set up in the area around Southampton, England, by banks wishing to offer a single point of contact for merger and acquisition advisory services. The Royal Bank of Scotland, for example, operates a regional corporate development unit in its Solent region. This works closely with the bank's acquisition finance unit and considers ways in which the bank could be involved in a merger or acquisition deal. It recognizes that understanding and delivering complex structures is a key element in meeting the acquisition finance requirements of clients.

It is important for mid-market companies to adapt to meet future challenges. They must ensure that they have the right corporate and product structures, and must also make contact with the right financial partners. They should consider junior capital providers, which are in a position to offer expanding mid-market private and public companies capital in the form of subordinated debt, preferred equity, convertibles and ordinary stock. Junior capital deals can take many different forms, and establishing a relationship of this kind can create a source of financing for follow-on acquisitions.

Article Abstract:
Bid premiums on European merger and acquisition deals were higher in the fourth quarter of 1999 than in the third quarter of the year. The average premiums over the target share price one day and one month before the offer or bid talks were announced were 45% and 56% respectively. The highest premiums were seen in the information technology sector. Public-to-private deals produced above average one day and one month premiums of 51% and 58% respectively. The 26 domestic offers produced one day and one month averages of 38% and 50% respectively.
