Rolls-Royce agrees to acquire Vickers

Vickers PLC has agreed to be acquired by Rolls-Royce PLC for #576 million in a cash deal that will create a world leader in marine propulsion systems. The acquisition will diversify Rolls-Royce's revenue base, which is now composed of mainly its civilian aircraft engine business. Under the terms of the deal, Vickers shareholders will receive252.85 pence per share, of which 250 pence will be cash and 2.85 pence will be a propose interm dividend. The 252.85 pence price represents a 53% premium over Vickers' closing share price of 165.5 pence on Fri.

Rolls-Royce net rose 33% in '05; outlook is bright
