UK investment bank Samuel Montagu believes that in the future it will probably become more integrated into the investment banking arm of its parent, HSBC Holdings. Samuel Montagu does not feel threatened by the fact that Midland Corporate Finance, also part of HSBC, plans to compete across the entire range of senior debt for management buyouts: until now the Midland unit has tended to do smaller, non-syndicated deals. Samuel Montagu believes it will still attract clients with its experience in bigger and more complex syndicated deals and by offering innovative financing packages.

BBA shows the way in auctions
Article Abstract:
BBA has sold its Automotive Products (AP) division for 181 million pounds sterling to CINVen. There was a pre-selection process and CINVen emerged as the financial bidder. Large auctions do not always give the best price, as is shown by this example. BBA was prepared to keep AP if a suitable deal could not be achieved, and this strengthened its position. A selective approach helps avoid alienating venture capitalists from entering another auction held by the company.

Auctions take hold in record year: the UK buyout market in 1995
Article Abstract:
1995 was an active year for the UK management buyout market with total value of buyouts up to 5.8 billion pounds sterling. Financiers and advisers sought larger deals and venture capitalists attempted to increase their target deal size. Vendors have increasingly used competitive auctions to sell their non-core divisions.
