Swimming against the tide
Article Abstract:
There is still a great deal of money available for investment in the UK, particularly in management buyins and management buyouts. This indicates that the change of ownership market is stable and that fewer investors are interested in small and medium-sized companies. The future of the small and medium-sized company change of ownership market lies in the regions. Many of these companies must now know how to find a US purchaser, with a considerable number of recent exits having been to US buyers. Timescales are now reducing, with venture capitalists exit planning almost as soon as a deal has been completed.

A new act to follow
Article Abstract:
The Finance Act 1998 was given Royal Assent in July 1998. Venture capital transactions could be affected by the Act in several scenarios, these include the situation whereby the employee buys shares which can be converted; or the attachment of conditions to employee shares; and finally when it is acknowledged that an exit will eventually occur, at the time of investment. Whilst these problems mainly affect the management teams, investors may be affected by tax charges.
