It has become increasingly common in the UK for companies seeking a purchaser to commission financial and commercial due diligence. Financial due diligence will generally cover areas such as past trading and cash flow trends and a review of the prospective financial information disclosed to potential purchasers. Commercial due diligence will generally look at areas such as the company's competitive position in its particular market. The availability of vendor-initiated due diligence allows the potential purchaser to avoid a significant part of the bid preparation costs.

Market researcher Corporate Information is a market due diligence specialist which provides acquirers with valuable information about their potential targets. Much of its work is researching overseas companies and markets. A case study of two companies is presented involving a firm dominating the European and UK market for pump action drenchers and its acquirer, an injection moulder for the agricultural sector. The use of due diligence gave the potential acquirer a full picture of the market issues and allowed it to advantageously renegotiate its acquisition terms.
