Valuation lessons for the 1990s
Article Abstract:
Acquisitions carried out in the 1980s often involved too much being paid for the target company. It is not clear that companies have learnt from this experience in the 1990s. A survey has been carried out of 199 firms in Europe and the US, and this indicates that companies may still be paying too much. The term 'bid premium' is sometimes used to justify this, but it is a vague term which should be explained when used. Companies tend not to be afraid of overpaying and acquisitions may be perceived as successful despite overpayment.
