The reasons associated with companies opting for repurchase of their shares as disclosed by management are analyzed. The findings suggest that surplus cashflow, rather than accumulated cash holdings, drives buyback activity at the company level.

Research into the use of non-executive directors (NED) by companies is presented. The results of a survey of 802 appointments are analysed and the favorable impact of NED appointment on shareholder value under certain conditions is shown.
