Corporate control and bank efficiency
Article Abstract:
Corporate principal-agent differences may worsen when the same person is CEO and chairman of the board because of the unification of decision-management and decision-control processes. Cost efficiency and return-on-assets tend to be less for chairman-CEO banks, positively related to nonchairman-CEO bank ownership, and not related to large blockholder equity ownership and proportion of inside directors. The structure of upper management influences performance and inside monitoring mechanisms may not be as effective.

Article presents on comments on the inefficiencies of efficiency studies including (1) the general lack of an international or global perspective in the studies which do not address efficiency comparisons between US and international banks, (2) the lack of attention given to notional values of off-sheet activities in larger US banks that often exceed the on-sheet activities of other banks, and (3) the lack of attribution of large cost efficiencies as possibly being the product of regulation.
