Farnell Electronics is a UK wholesaler of electronic parts. The company acquired Combined Precision Components in May 1995, and both companies are involved in catalog marketing. Farnell has launched catalog businesses in the US and Singapore and costs are low for these operations since premises are rented with the product range similar to that sold in the UK. Farnell has moved out of manufacturing and this has released funds for expansion. The new operations could take some 3 years to reach UK rates of return.

Farnell pays top dollar

Farnell is involved in an agreed takeover of Premier for 1.85 billion pounds sterling. Premier ranks first among US electronic components catalog distributors and has a different product range from Farnell, which also distributes electronic components. The deal will allow Farnell to distribute through Premier, though there is concern that the price is high. The chairman of Premier, Mort Mandel, holds a 50% stake in the company and will hold 25% of Farnell, and will join Farnell's board.

Farnell's logic

Farnell is acquiring Premier for 1.9 billion pounds sterling and the deal has been approved by shareholders. The industrial logic of the acquisition is that increased sales can be gained through selling Farnell products through Premier, since there is little overlap in the two companies' catalogs. This could boost Farnell's profit by 20 million pounds sterling, according to Merrill Lynch's David Greenall. Farnell can also sell products from Premier in European markets.
